Terms of Service
These terms are the agreement between you and PayVoy. By creating an account or using the service, you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to bind it.
The short version. PayVoy is software that helps you invoice and get paid. It is not a bank, not a payment processor, and not your accountant. Your money settles into your own gateway account and never passes through us. You are responsible for what your invoices say; we are responsible for the software working as described. During early access the service is free and comes without an uptime guarantee. We will tell you before that changes.
1. Who these terms are with
PayVoy is operated by [LEGAL ENTITY NAME], ABN [ABN] ("PayVoy", "we", "us"), of [POSTAL ADDRESS]. "You" means the business using the service.
2. What PayVoy does, and does not do
Does: creates tax invoices, generates payment links, sends them by email, SMS or a link you share yourself, records payments and refunds, chases unpaid invoices, and shows you what you are owed and what you owe back.
Does not:
- Hold or move your money. Card payments are taken by the payment gateway you connect, under your own merchant agreement with them. Funds settle from your gateway to your bank account. We never receive, hold or direct your funds, and we take no percentage of them.
- Provide financial, tax, accounting or legal advice. The GST and tax-invoice rules built into the product reflect our understanding of the ATO requirements, and we take that seriously, but you are responsible for your own tax position. If it matters, ask your accountant.
- Guarantee that a customer will pay you. We help you ask, follow up and keep track. That is all software can do.
3. Eligibility
PayVoy is for businesses operating in Australia. You must be at least 18, hold a valid ABN, and give accurate details when you sign up. The service is not intended for consumers invoicing privately.
4. Your account
- Keep your password and passkeys to yourself. You are responsible for what happens under your account, including anything done by team members you invite.
- Tell us promptly at support@payvoy.com.au if you think someone else has access.
- You control who you invite and what role they hold. Removing someone is your job, and it is a good idea to do it the day they leave.
5. Your payment gateway
To take card payments you connect your own gateway account (such as eWAY, Global Payments ANZ or Ezidebit). Your relationship with that gateway is governed by your agreement with them, including their fees, settlement times, chargeback rules and any holds they place on funds.
You authorise us to use the credentials you supply to create payment requests, take payments and query outcomes on your behalf. We store those credentials in an encrypted vault and use them for nothing else. You can disconnect at any time.
We are not responsible for a gateway's downtime, a declined transaction, a chargeback, or the fees they charge you.
6. Your invoices and your customers' information
- You are responsible for what your invoices say: amounts, descriptions, GST treatment, your ABN and your GST registration status. The product will warn you when something looks wrong; it will not stop you being wrong.
- You must have the right to enter and use your customers' contact details, and to send them invoices, reminders and receipts. Your own privacy obligations to your customers remain yours.
- Don't use the service to contact people who have asked you not to, or to send anything that isn't a genuine invoice or payment communication. SMS in particular is regulated; the product is built to comply, and using it otherwise is your risk, not ours.
7. Early access
PayVoy is currently in early access. That means:
- The service is provided free of charge for now. The plans and prices shown on our site are what the service will cost when charging begins. Nothing is billed until then, and section 8 says what notice you get first.
- Features may change, and some are still being verified against live payment gateways. Where something has not been verified end-to-end, we say so in the product rather than letting you find out.
- There is no uptime guarantee and no formal support commitment during early access. We will do our best, and we will be straight with you when something is broken.
- We may contact you about how you're using it. You can opt out of that.
8. Fees
Early access is free. We publish our plans and prices so you can see what the service will cost, but publishing them does not start any charge: we will give you at least 30 days notice by email before any charge applies to your account, and you may close your account instead. We will never charge you without telling you first, and a price we have shown you will not go up between that notice and your first bill.
PayVoy does not take a percentage of the payments you collect. Your gateway's own fees are between you and them.
9. Acceptable use
Don't use PayVoy to: break the law; invoice for goods or services you haven't provided; launder money; impersonate someone else; send unsolicited marketing; attack, probe or overload the service; scrape it; resell it; or reverse-engineer it beyond what Australian law permits.
Don't upload anything you don't have the right to upload.
10. Availability and changes
We will try to keep the service running and to give notice before planned downtime, but we do not promise it will be uninterrupted or error-free. We may add, change or remove features. If we remove something you rely on, we will tell you before we do it.
11. Your data
Your data is yours. We claim no ownership of your invoices, clients or payment records. You grant us only the licence needed to host, process and display it in order to run the service for you.
You can export your records from within the app at any time, and we would encourage you to keep your own copies of anything you are legally required to retain. If you close your account we will close your workspace and handle its contents as described in the Privacy Policy, which explains why the invoices and payment records inside it are kept rather than deleted.
12. Our intellectual property
The software, the PayVoy name and the look of the product remain ours. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account is open, and nothing more.
13. Third-party services
PayVoy depends on services we don't control: your payment gateway, our email and SMS providers, our hosting. Their failures can affect the service. We choose them carefully and will tell you when one of them is the cause, but we are not liable for their acts or omissions.
14. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. If you are a consumer under that law, you have guarantees that apply regardless of anything written here.
Where we are permitted to limit our liability, and to the extent the law allows, our liability for the supply of the service is limited at our option to resupplying it or paying the cost of having it resupplied.
15. Liability
Subject to section 14, and to the extent permitted by law:
- The service is provided "as is". During early access in particular, you should verify anything that matters (a payment recorded, an invoice sent) against your own gateway and bank records.
- We are not liable for indirect or consequential loss, loss of profits, loss of revenue, or loss of business opportunity.
- Our total liability to you for all claims in any 12-month period is limited to the greater of the fees you paid us in that period and AUD $500.
We are stating this plainly rather than burying it: while the service is free and in early access, $500 is the whole of it. Once you are on a paid plan the cap is whatever you paid us that year if that is the larger figure, so it rises with what you spend rather than staying fixed. Either way it is a small number next to what a year of your invoicing is worth. If that is not an acceptable risk for your business, please don't rely on PayVoy as your only record of what you are owed.
16. Indemnity
You indemnify us against claims arising from your use of the service in breach of these terms or the law, including claims by your own customers about invoices you raised or communications you sent through the service. This does not apply to the extent the claim is caused by us.
17. Suspension and closing your account
You can close your account at any time. We may suspend or close an account that breaches these terms, poses a security or legal risk, or is being used to defraud someone. Except where the law or an immediate risk requires otherwise, we will tell you why and give you a chance to fix it first.
On closure, sections 11 to 16 survive.
18. Changes to these terms
We may update these terms. If a change materially affects you, we will give you notice by email or in the app before it takes effect, and continuing to use the service after that means you accept it. The date at the top always shows the current version.
19. Governing law
These terms are governed by the laws of New South Wales, Australia, and you and we submit to the non-exclusive jurisdiction of its courts.
